1. Parties
This Buyer Representation Agreement ("Agreement") is entered into between:
Broker / Advisor: Julian Yuken, FL Real Estate License SL 3563660, affiliated with GUILLEN A Real Estate Company, located at 2525 Ponce De Leon Blvd #300, Coral Gables, FL ("Broker"); and
Buyer: The individual(s) identified by their signature below ("Buyer").
2. Appointment of Broker
Buyer hereby appoints Julian Yuken of GUILLEN A Real Estate Company as Buyer's exclusive real estate advisor and representative for the purpose of locating, evaluating, and negotiating the acquisition of real property in South Florida and surrounding areas, as mutually agreed upon between the parties.
3. Broker's Duties
Broker agrees to:
- Represent Buyer's best interests in good faith and with due diligence
- Identify and present suitable properties consistent with Buyer's stated objectives
- Assist in evaluating, negotiating, and structuring offers on Buyer's behalf
- Maintain confidentiality of Buyer's financial and personal information
- Comply with all applicable Florida real estate laws and regulations
4. Compensation
Broker's compensation shall be structured as follows:
Primary Compensation: Broker shall seek compensation from the Seller or Seller's broker/agent as offered through the applicable Multiple Listing Service (MLS), cooperative compensation agreement, or direct negotiation with the Seller at the time of any transaction.
Buyer Compensation — Event of Non-Payment by Seller: In the event that the Seller or Seller's broker/representative does not offer, agree to pay, or otherwise compensate Broker, Buyer agrees to compensate Broker a fee equal to three percent (3%) of the final purchase price of the property acquired by Buyer. This fee shall be due and payable at the time of closing.
For example: if Buyer purchases a property at a final price of $1,000,000 and the Seller does not compensate Broker, Buyer shall owe Broker $30,000 at closing.
5. Term
This Agreement shall commence on the date of execution and shall remain in effect for a period of twelve (12) months, unless earlier terminated by mutual written consent of both parties, or extended by written agreement.
6. Exclusivity
During the term of this Agreement, Buyer agrees to work exclusively with Broker for the purchase of real property. If Buyer purchases any property — with or without Broker's direct involvement — through any seller, listing agent, or other source during the term of this Agreement, the compensation provisions of Section 4 shall apply.
7. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Florida. Any dispute arising from this Agreement shall be subject to mediation prior to litigation, and shall be resolved in Miami-Dade County, Florida.
8. Electronic Signature
The parties agree that electronic signatures to this Agreement are valid and legally binding to the same extent as original ink signatures, pursuant to the Electronic Signatures in Global and National Commerce Act (ESIGN), 15 U.S.C. § 7001 et seq., and the Florida Electronic Signature Act, F.S. § 668.50.
9. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to buyer representation and supersedes all prior discussions, negotiations, or agreements. Modifications must be in writing and signed by both parties.
