This Exclusive Right of Sale Listing Agreement ("Agreement") is entered into as of the Effective Date shown below, by and between Broker and Owner (both as identified below). Broker and Owner agree as follows:

3Term / Exclusive Listing Period

Agreement commences on the Effective Date and expires at 11:59PM (EST) on the Expiration Date, unless earlier terminated per Section 13.

Broker Fee — Fixed at 6% of Gross Sale Price Owner agrees to pay Broker a fee equal to six percent (6%) of the gross sale price upon the occurrence of any qualifying sale event as defined in Section 11(B) of this Agreement. Owner acknowledges that broker compensation is not set by law and is fully negotiable.

Liquidated Damages: In the event a sale fails to close, Owner will pay Broker a fee equal to 0% of all deposits retained by Owner as liquidated damages, not to exceed the Broker Fee.

15Protection Period

Within 10 business days following the Exclusive Listing Period, Broker will provide Owner a list of all persons to whom the Property was shown. If Owner enters into a sale agreement with any such person during the Protection Period, Broker Fee shall apply.

16. Notice of Lien — Florida Statute § 475.42

Broker hereby notifies Owner that it may record a lien against the Property for any lawful purpose including payment of amounts due under this Agreement. The Florida Commercial Real Estate Sales Commission Lien Act (Fla. Stat. § 475.700 et seq.) provides that when a Broker has earned a commission by performing licensed services under a brokerage agreement, the Broker may claim a lien against the Owner's net sales proceeds for the Broker's commission.

19Miscellaneous
